This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of www.adeptlaws.com website and adept application for mobile and handheld devices.

  • 1. GENERAL:
    • 1.1. These terms of use (the "Terms of Use") govern your use of our website www.Adeptlaws.com (the "Website") and our "Adept law" application for mobile and handheld devices (the "App"). The Website and the App are jointly referred to as the "Platform". Please read these Terms of Use carefully before you use the services. If you do not agree to these Terms of Use, you may not use the services on the Platform, and we request you to uninstall the App. By installing, downloading or even merely using the website or its Platform, you shall be contracting with Adept laws and you signify your acceptance to this Terms of Use and other Adept laws policies (including but not limited to the Privacy Policy, cookie policy,content creation policy, IPR policy, Digital accesability and Non-Discrimination Policy) as posted on the Platform and amended from time to time, which takes effect on the date on which you download, install or use the Platform, and create a legally binding arrangement to abide by the same.
    • 1.2. USER ARE REQUESTED TO READ THIS AGREEMENT AND ALL OTHER AGREEMENTS AND POLICIES REFERRED HEREIN COLLECTIVELY AS TERMS OF SERVICE ; CAREFULLY AS THEY CONTAIN ESSENTIAL INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS.
    • 1.3. This Agreement (this “Agreement”) is a contract between you (“you” or “User”) TECHSETU COMMUNICATIONS PRIVATE LIMITED a private limited company registered under the companies act, 2013 having its registered address at: 103, AMAR RESIDENCY, KAMLA NEHRU ROADNO.1 OPP. SHATABDI HOSPITAL, STATION RD, KANDIVALI MUMBAI CITY MH 400067 IN (“Adept laws,” “we,” or “us”). You must read, agree to, and accept all of the terms and conditions contained in this Agreement to be a User of our website located at www. adeptlaws.com or any part of the rest of the Site (defined in the site terms of use) or the Site Services (defined in the Site Terms of Use).
    • 1.4. Subject to the conditions set forth herein, Adept laws may, in its sole discretion, amend this Agreement and any of the other agreements that comprise the Terms of Service at any time by posting a revised version on the Site. Adept laws will provide reasonable advance notice of any amendment that includes a Substantial Change (defined below), by posting the updated Terms of Service on the Site, providing notice on the Site, and/or sending you notice by email. Any revisions to the Terms of Service will take effect on the noted effective date (each, as applicable, the “Effective Date”).
    • 1.5. IF YOU DO NOT ACCEPT THE TERMS OF SERVICE, YOU MUST NOT ACCESS OR USE THE SITE.
    • 1.6. IF YOU AGREE TO THE TERMS OF USE ON BEHALF OF AN ENTITY OR IN CONNECTION WITH PROVIDING OR RECEIVING SERVICES ON BEHALF OF AN ENTITY, YOU HEREBY REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THE TERMS OF SERVICE AND AGREE THAT YOU ARE BINDING BOTH YOU AND THAT ENTITY TO THE TERMS OF SERVICE. IN THAT EVENT, “YOU” AND “YOUR” WILL REFER AND APPLY TO YOU AND THAT ENTITY ALTOGETHER.
    • 1.7. The content of the pages of this website is for your general information, government policy, administrator notes for personal use only. It is subject to change without notice. Though all efforts have been made to ensure the accuracy and currency of the content on this website, the same should not be construed as a statement of law or used for any legal purposes. In case of any ambiguity or doubts, users are advised to verify/check with the Department(s) and/or other source(s), and to obtain appropriate professional advice. Your use of any information or materials on this website is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any services or information available through this website meet your specific requirements.   • 2. PLATFORM SERVICES:
    • 2.1. Adept laws grants the user a non-exclusive, non-transferable, revocable, limited license to access and use content available in this platform may be governed by local, national, and/or international laws and regulations, and your use of such content is solely at your own risk.
    • 2.2. The license includes the right to download and store insubstantial portions of data (‘Downloaded Data”).
    • 2.3. If the user is a consultant, the consultant must provide the following information when creating their user ID and will also receive additional services, such as the ability to share the website with each of their specific clients or customers by creating a user ID that can only be used by a limited number of people, depending on the subscription they have chosen.
    • 2.4. No material/content downloaded from the platform of Adept laws shall be reproduced, transmitted or stored in any other Web Site nor shall any of its pages be disseminated, either in electronic or non-electronic form, or included in any public or private electronic retrieval system or service without the prior written permission of Adept laws. (hereinafter referred to as “Services”)
  • 3. ADDITIONAL SERVICE:
    • 3.1. Adept laws will charge for these additional services by seeking expert consultation or opinion for your legal query; the fees may vary depending on the issue or subject matter. Users may access additional services related to queries or suggestions on any labour law matter in the query page provided.
    • 3.2. If the user is a consultant and creates a user ID for their client or customer at their request, any legal questions or concerns expressed by that client or customer will be forwarded directly to the consultant's registered email address, maintaining the client and consultant's confidentiality.
    • 3.3. The resources and information on the website are all offered solely for informational purposes and may not accurately reflect recent legal developments or differences in local laws. The content and information on the website may not always represent the views of the law firms' attorneys, their clients, partners, or affiliates. The accuracy, completeness, or currentness of the material on the website cannot be guaranteed. You acknowledge that just receiving an email from or making a "post" on the website does not establish an attorney-client relationship, and you accept that Adept legal is not responsible for any losses, expenses, charges, or damages of any kind resulting from or connected to your use of such services. (including, without limitation, claims based on malpractice).
  • 4. RIGHT TO ACCESS AND ACCOUNT CREATION:
    • 4.1. In order to access the Platform and use certain Services, you will be required to register and create an account on the Platform by providing the requested details.
    • 4.2. To register on the Adept laws Platform you must meet the ‘Age Requirements’ specified herein below. By using the Adept laws Platform, you, through your actions, affirm that the Age Requirements are met. If you are a minor, you agree to register yourself under the guidance and surveillance of an Adult/ your Legal Guardian.
    • 4.3. You can register on the Platform for free however, the Services offered on the Platform shall be chargeable. Please review the Service offerings on our Site or Application(s). You are not obligated to purchase any subscription or use any Service offered on the Platform.
    • 4.4. Age Requirements to register and use on the Platform (“Age Requirements”):
      • 4.4.1. If you are a resident of India, then you must have attained at least 18 (eighteen) years of age to register and use the Adept laws Platform;
      • 4.4.2. If you are resident of any other country and are considered to be of any age determined for use of internet services but are less than the contractual age determined by the applicable laws of such country, then by using the Platform, you confirm to us that your use of the Platform is with the permission of your legal guardian, and your legal Guardian has read, agreed and accepted to the Agreement; and in the event of any dispute between you and Adept laws pursuant to your Agreement with us, the terms of our Agreement shall be applicable to and enforceable against your legal Guardian.
      • 4.4.3. Adept laws reserves the right to terminate your Subscription and / or restrict your access to the Platform, if it is discovered that you do not meet the Age Requirements and/or the consent to register and use the Platform is not obtained as above. You acknowledge that Adept laws does not have the responsibility to ensure that You conform to the aforesaid Age Requirements. It shall be Your sole responsibility to ensure that the required qualifications are met.
  • 5. LICENSE FEE/SUBSCRIPTION FEES:
    • 5.1. Payment of the full licence fee/subscription fees shall entitle the party subscribing to the Service (the "User") to a non-transferable, non-exclusive limited licence to use the materials and information database available (the "Database"). The licence fee paid is non-refundable. All taxes, fees and duties existing and/or subsequently imposed are to be borne by the Licensee.
    • 5.2. License fee paid by you shall be for the fixed term/ plan and any modification in the subscription charges shall be applicable on the commencement of next renewed plan term. However, the introduction of any additional feature/ database by third party content provider through the adept laws will be made available to the existing subscriber only after making up the deficit payment.
    • 5.3. After completion of subscription fees above, the subscriber will obtain his/its sign-in identity and password allotment/ permission to use which will constitute the offer and acceptance of the terms and conditions herein by Adept laws and the intending subscriber, thus constituting him/ it an authorized user herein permitted to avail the service and/or access the data and information of Adept laws, in any form, and shall hereinafter be referred to as “subscriber”.
    • 5.4. Subject to payment of the Subscription cost and your compliance with all Platform Terms, Adept laws shall grant you a non-exclusive, non-transferable, limited licence, during the applicable Subscription Period, to access and see the content you have subscribed for personal, non-commercial, private use only, in line with the Platform Terms After the Subscription Period has ended or in accordance with any restrictions outlined in the Platform Terms, we may immediately delete your access to the content from your Compatible Device. Except as expressly permitted under any of the Platform Terms or otherwise in writing, you will not reproduce, duplicate, copy, sell, redistribute, create derivative works or otherwise exploit the Platform or any portion of the Platform (including but not limited to any copyrighted material, trademarks, or other proprietary information).
    • 5.5. A detailed statement of the subscription and usage charges, for subscribers under Transactional Pricing, which the subscriber may incur, will be available for the subscriber to view and verify on the information service. This shall be treated as final and binding unless the subscriber shall bring to the notice of Adept laws any discrepancies within seven days of the charge having been debited to it/him after which period any such charges shall be deemed to have been debited and accepted by the subscriber.
  • 6. SHIPPING AND DELIVERY FOR SUBSCRIPTION PURCHASES:

    The Shipping Policy outlines the delivery methods for our subscription products, as they do not involve physical shipments. By subscribing to our services, you agree to the following terms and conditions:

    • 6.1 Delivery Method: All subscription products and related content will be delivered electronically via email or made available for download through our website. You will receive digital access to the content and services upon successful subscription purchase and confirmation.
    • 6.2 Email Delivery: Subscription-related communications, including invoices, activation details, and updates, will be sent to the email address provided during the purchase process. It is your responsibility to ensure that the provided email address is accurate and up-to-date.
    • 6.3 Downloadable Content: In some cases, our subscription services may include downloadable applications or digital content. You will have access to download these items through our website or a designated download link provided in your subscription confirmation.
    • 6.4 Activation and Access: Your subscription will become active immediately upon successful payment. You will receive instructions on how to access your subscribed services and any required credentials. Please keep this information secure and do not share it with unauthorized individuals.
    • 6.5 Service Availability: We make every effort to ensure the availability and reliability of our subscription services. However, we do not guarantee uninterrupted access, and there may be occasional downtime for maintenance or unforeseen technical issues. In such cases, we will work to restore service as quickly as possible.
  • 7. TERMINATION:
    • 7.1. The services so offered by Adept laws, are subject to the user agreeing to all the terms and conditions of the license. In case any of the terms are revoked, Adept laws is entitled to terminate this subscription & discontinue the subscriber’s right to access the Service. However Adept laws shall not be liable to make any refunds in the event of subscriber indulging into activities strictly refrained from.
  • 8. CONSEQUENCES OF TERMINATION:
    • 8.1. The warranties and indemnities, the provisions in relation to the payment of money due to Adept laws and the restrictions on the rights of the subscriber in relation to the use of the Database, contained herein shall survive the termination or expiry of this subscription.
    • 8.2. Upon termination, the user must destroy all materials obtained from the Web works from and distribute such materials or incorporate such materials into any form, medium, or technology now known or later developed throughout Site.
  • 9. USER RESPONSIBILITY:
    • 9.1. Users are responsible and liable for the following:
    • 9.2. You are responsible for maintaining the confidentiality of your account and password to access the Platform. You acknowledge that your account is personal to you and agree not to provide any other person with access to the Platform and to restrict access to your device to prevent any unauthorized access to your account.
    • 9.3. You agree to accept responsibility for all activities that occur under your account. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your username, password, or other Personal Information.
    • 9.4. You should take all necessary steps to ensure that the password is kept confidential and secure at all times, and if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner, you agree to immediately change your password or inform us of any unauthorized access to or use of your username or password, so that we are able to help you stop or prevent such unauthorized access. Please ensure that the details you provide us are correct and complete.
    • 9.5. You represent that the information provided by you at the time of the registration are correct, true and accurate, and you agree to update the same as and when there is any change in the said information. Please read our Privacy Policy to understand how we handle your information.
  • 10. ADEPT LAWS RIGHTS, POWER AND RESPONSIBILITY:
    • 10.1. In respect of the entire Platform, Adept laws reserves the following rights:
    • 10.2. Right to put on-hold or reject or suspend or terminate your registration on the Platform for the purpose of complying with the legal and regulatory requirements.
    • 10.3. Right to remove you and/or any Content without notice if you violate any provisions of the Platform Terms.
    • 10.4. Right to modify, terminate, or refuse to provide Services at any time for any reason, without notice.
    • 10.5. Notwithstanding anything contrary stated in the Platform Terms, in its sole discretion, Adept laws may remove anyone from the Platform at any time for any reason.
    • 10.6. Right to disable any account, feature, or identifiers, whether chosen by you or provided by us, at any time if, in our opinion, the said identifiers or you have violated any provision of the Platform Terms.
    • 10.7. Right to access your account and/or any Content/services in order to respond to requests for technical support, to maintain the safety and security of the Platform, legal purposes and for other legitimate business purposes, as necessary, in Adept laws discretion.
    • 10.8. Adept laws has no obligation to monitor any content that appears on the Platform or review any conduct occurring through the Platform, including any interactions between Users, however, if Adept laws receives notice or becomes aware of, any violation of the Platform Terms, then, we reserve the right to refuse your access to the Platform, terminate accounts or remove such violating content at any time without notice to you.

Every effort has been taken in the creation of the Application, Website, Services, as well as the contents therein, to provide the most up-to-date, accurate, and plainly expressed information possible. Nevertheless, unintentional mistakes could happen.   • 11. Refund and Cancellation Policy
    • By subscribing to our service (the "Service"), you (the "User") agree to the terms of this refund and cancellation policy. Payment of the full license fee/subscription fees grants the User a non-transferable, non-exclusive limited license to use the materials and information database available through the Service (the "Database").

      The license fee paid for your subscription is non-refundable. Once you have paid the subscription fee, we do not provide refunds, in whole or in part, regardless of whether you use the Service.

      All taxes, fees, and duties, whether existing or subsequently imposed, are the responsibility of the Licensee (the User).
    • 11.3. Cancellation of Subscription
      Please note that the license fee paid is non-refundable, as stated above. The Database will continue until the end of the current billing period, after which it will be terminated.
    • This refund and cancellation policy applies to all Users of our Service.
  • 12. INTELLECTUAL PROPERTY RIGHTS:
    • 12.1. THESE LIMITATIONS WILL APPLY NOTWITHSTANDING ANY BREACH OF CONDITION(S) OR FUNDAMENTAL TERM(S) OR FOR A FUNDAMENTAL BREACH (S). IN ANY CASE, ADEPT’S LAW AND ITS AFFILIATES ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT OR ITS SERVICES SHALL BE LIMITED TO THE SUBSCRIPTION AMOUNT/LICENSE FEE RECEIVED FROM USER FOR THE WEBSITE/SOFTWARE AND OR ITS ADVISE/OPINION PURSUANT TO THIS AGREEMENT PROVIDED. THIS LIMITATION OF LIABILITY IS CUMULATIVE WITH ALL SUCH PARTY’S EXPENDITURES BEING AGGREGATED TO DETERMINE SATISFACTION OF THE LIMIT.
  • 19. INDEMNIFICATION:
    • 19.1. The User shall indemnify and hold harmless the Adept laws in respect of any and all claims, demands, liabilities, damages, fines, encumbrances, liens, losses, costs and expenses, including reasonable attorneys’ fees and disbursements, and costs and expenses of investigation which may be incurred or suffered by the Adept laws as a result of or arising out of prosecuting, defending, settling or investigating:
      • 19.1.1. any threatened, pending, or completed claim, demand, inquiry, investigation, action , suit or proceeding, whether formal or informal or brought by the USER or otherwise and whether of a civil, criminal, administrative or investigative nature, in which the Adept laws may be or may have been unnecessary made as a party or otherwise;
      • 19.1.2. any expense, interest, assessment, fine, tax, judgment or settlement payment arising out of or incident to any of the matters indemnified against in this Agreement including reasonable fees and disbursements of legal counsel, experts, accountants, consultants and investigators (before and at trial and in appellate proceedings).
  • 20. WAIVER:
    • 20.1. Any waiver by either Party of a breach of any provision of this Agreement by the other Party shall not be construed as a waiver of any other or subsequent or preceding breach by the other said Party. No waiver by either Party of any right under this Agreement shall be construed as a waiver of any other right which the Party may have under this Agreement, in law or in equity.
  • 21. FORCE MAJEURE:
    • 21.1. It is agreed by the Adept laws that USER shall not be liable for any failure or delay in performance of any obligation under this Agreement to the extent such failure or delay is due to fire, strike, pandemic, lockdown, lockout, war, civil commotion, labor unrest such as but not limited to gherao, acts of God, cyber attack, malware, phishing, Password attacks, data hack, man in the middle (MITM) attack, hacked, changes in law, regulations or policies of the Government, the Reserve Bank of India or other regulatory authority acts beyond the control of the Party, or for any other reasons which cannot reasonably be forecast or provided against, any of which affects the Adept laws to provide it services.
  • 22. NATURE OF RELATIONSHIP:
    • 22.1. The USER relationship with Adept laws will be that of an independent contractor sharing a principal to principal relation with each other and nothing in this Agreement should be construed to create or imply a partnership, agency, joint venture or employer-employee relationship with each other.
    • 22.2. It is expressly understood by the parties to the agreement that Adept laws is a mere Service Provider to the USER through this website and not in any other capacity whatsoever it may be called. It is further agreed to by the parties to the agreement that Adept laws is not performing any activity or job or providing service on behalf of which tantamount to it being a employer or agent.
  • 23. SEVERABILITY:
    • 23.1. In the event that any provision of this Agreement shall be deemed by any court having jurisdiction thereon to be illegal, invalid or unenforceable, it shall in no way affect or prejudice the legality, validity or enforceability of any other term or condition of this Agreement. If any provision of this Agreement shall be deemed by such court to be unenforceable because such provision is too broad in scope, such provision shall be construed to be limited in scope to the extent such shall deem necessary to make it enforceable, and if any provision shall be deemed inapplicable by any such court to any person or circumstances, it shall nevertheless be construed to apply to all other persons and circumstances.
  • 24. SURVIVAL:
    • 24.1. Any terms and conditions that by their nature or otherwise reasonable should survive expiration or termination of this Agreement, shall be deemed to survive the expiration or termination of this Agreement. Such terms and condition include but are not limited to Indemnification, Confidentiality, Payment Terms, Relationship, Liability, Jurisdiction, Governing Laws and Dispute Resolution.
  • 25. SUCCESSORS AND ASSIGNS:
    • 25.1. Neither Party shall assign its rights or obligations under this Agreement without the prior written permission of the other party and any attempt to do so shall be void. Any such assignment consented to by the Parties shall be confirmed vide written confirmation signed by Parties including assignee to the said effect.
  • 26. GOVERNING LAW:
    • 26.1. This Agreement shall be governed by, and construed in accordance with the laws of India. Both Parties grant sole and voluntary consent to the exclusive and only jurisdiction of Mumbai for any dispute arising out of this Agreement.
    • 26.2. That the USER, CONTENT AND THE Adept laws herein through this agreement give their consent to the exclusive jurisdiction of the courts located in Mumbai in case of determination of any dispute arising out of this agreement.
  • 27. ENTIRE AGREEMENT:
    • 27.1. This Agreement constitutes the entire agreement between the Parties including its schedules, annexure, exhibits and addendum thereto and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter.
